Objective of the Event

Cross-border intangible transactions attract tax scrutiny. This course examines OECD/G20 BEPS and the Two Pillars from an IP management perspective, focusing on value creation, transfer pricing, transparency and why legal ownership alone may not determine IP returns.

Participants will identify intangibles, distinguish legal ownership from economic contributions and exploitation rights, and apply DEMPE to map functions, risks and evidence of control.

The course addresses IP, licensing and R&D arrangements, documentation, audit readiness, hard-to-value intangibles and software, data and AI-related IP, with practical actions across IP, R&D, Legal, Finance and Tax.

  • Background to OECD BEPS, incl. current status and the Two Pillars
  • Implications for the IP function: value creation, transfer pricing, transparency and the allocation of IP-related returns
  • Interfaces between IP management, R&D, Legal, Finance and Tax

Intangible assets and value creation
  • Identify intellectual assets, i.e. patents, trade secrets, etc.; distinguish legal ownership, economic contributions and exploitation rights
  • Map where intangibles are developed, enhanced, maintained, protected and exploited

DEMPE functions in practice
  • Development, Enhancement, Maintenance, Protection and Exploitation: map functions, decision-makers, capabilities, risks and evidence of control
  • Contractual arrangements and actual IP and R&D activities: identify gaps 

IP ownership, licensing and international arrangements
  • IP holding and centralised management; intercompany licences, royalties, technology transfer, cross-border R&D, development services and joint development
  • IP transfers, restructurings, acquisitions and integration; warning signs in contracts and operating models

Documentation, data and audit readiness
  • Build a consistent value-creation narrative across functions and jurisdictions, linking IP registers, invention and R&D records, licences and governance
  • Transfer pricing documentation and Country-by-Country Reporting; evidence for Tax and Transfer Pricing colleagues and preparation for questions from tax authorities and advisers
